TERMS OF
SERVICE
These terms govern your use of the ICTAlly website and our professional IT infrastructure and low voltage contracting services.
1. Acceptance of Terms
By accessing or using the ICTAlly website (ictally.com) or engaging ICTAlly LLC for any services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use our website or engage our services.
These terms apply to all visitors, users, and customers of ICTAlly LLC. We may update these terms from time to time, and your continued use of our website or services constitutes acceptance of any changes.
2. Description of Services
ICTAlly LLC is a licensed, insured, veteran-owned low voltage contractor providing professional IT infrastructure services, including but not limited to:
- Security camera and surveillance system installation
- Structured cabling (Cat5e, Cat6, Cat6A, fiber optic)
- Access control system design and installation
- Audio visual system integration
- Smart home and building automation
- Network infrastructure design and deployment
- Managed network services and ongoing support
3. Quotes & Service Agreements
All quotes and proposals provided by ICTAlly LLC are estimates and are valid for thirty (30) days from the date of issuance unless otherwise specified in writing.
No work will commence until a formal service agreement has been reviewed and signed by both parties. Quotes are not binding contracts and do not obligate either party until a signed agreement is in place.
The scope of work, timeline, and pricing will be outlined in each individual service agreement. Any changes to the agreed scope may result in additional charges and timeline adjustments.
4. Pricing & Payment
Payment terms will be specified in your individual service agreement. Unless otherwise agreed, payment is due upon completion of services.
For managed network services, the standard subscription includes a one-time installation fee and a recurring monthly management fee, billed on a month-to-month basis with no long-term contract required.
Invoices not paid within thirty (30) days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance. ICTAlly reserves the right to suspend services for accounts with overdue balances.
5. Scheduling & Cancellation
All service appointments are scheduled subject to technician availability. ICTAlly will make every reasonable effort to accommodate your preferred schedule.
Cancellations must be made at least forty-eight (48) hours prior to the scheduled service appointment. Cancellations made with less than 48 hours' notice may be subject to a cancellation fee as outlined in your service agreement.
Emergency and after-hours service is available and may be subject to additional charges. Rescheduling requests are accommodated whenever possible at no additional cost.
6. Warranty & Workmanship
ICTAlly LLC stands behind the quality of our work. All labor and installation services are covered by a workmanship warranty as specified in your individual service agreement.
Equipment and hardware warranties are provided by the respective manufacturers and passed through to the customer. ICTAlly will assist with manufacturer warranty claims as a courtesy.
Warranty coverage does not extend to damage caused by customer modifications, misuse, power surges, acts of nature, or third-party interference. Warranty claims must be submitted in writing to initiate the resolution process.
Site Access & Customer Responsibilities
By engaging ICTAlly for on-site services, the customer agrees to:
- Provide safe and reasonable access to the work area for ICTAlly technicians
- Ensure the work area is clear of obstructions and hazards
- Provide access to electrical panels, telecom rooms, ceilings, and other infrastructure as needed
- Obtain any necessary building permits, HOA approvals, or landlord permissions prior to scheduled work
- Disclose known hazards, including asbestos, lead paint, or other environmental concerns
ICTAlly reserves the right to halt work and reschedule if site conditions present a safety hazard to our technicians. Any delays caused by site access issues are the customer's responsibility.
Client Portal (service.ictally.com)
Access to the ICTAlly Client Portal is provided to active clients for managing service requests, viewing invoices, and communicating with our team. By using the portal, you agree that:
- You are responsible for maintaining the confidentiality of your login credentials
- You will not share portal access with unauthorized individuals
- You will notify ICTAlly immediately if you suspect unauthorized access to your account
- All information you provide through the portal is accurate and current
ICTAlly reserves the right to suspend or terminate portal access for accounts with overdue balances or violations of these terms.
Use of Subcontractors
ICTAlly LLC may engage qualified subcontractors to assist with service delivery. When subcontractors are used:
- All subcontractors are vetted, licensed, and carry their own insurance coverage (general liability and workers' compensation)
- Subcontractors are required to provide current W-9 and Certificate of Insurance (COI) documentation
- ICTAlly maintains oversight and responsibility for all work performed by subcontractors on your project
- Subcontractor work is subject to the same quality standards and warranty terms as work performed by ICTAlly employees
Insurance & Licensing
ICTAlly LLC maintains the following coverage for your protection:
- General Liability Insurance — Covers property damage and bodily injury arising from our work
- Workers' Compensation Insurance — Covers our technicians for on-the-job injuries
- Low Voltage Contractor License — Licensed to perform low voltage electrical work in the State of Tennessee
Certificates of Insurance (COI) are available upon request. If your project requires additional insured endorsement, please notify us prior to the start of work and we will coordinate with our insurance provider.
7. Limitation of Liability
To the maximum extent permitted by law, ICTAlly LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use of our website or services.
In no event shall ICTAlly LLC's total liability exceed the amount actually paid by the customer for the specific services giving rise to the claim.
ICTAlly LLC shall not be held liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, supply chain disruptions, or government actions (force majeure).
8. Intellectual Property
All system designs, network diagrams, project documentation, and custom configurations created by ICTAlly LLC remain the intellectual property of ICTAlly LLC until full payment has been received for the associated services.
The ICTAlly name, logo, trademarks, website content, graphics, and all associated materials are the property of ICTAlly LLC and may not be reproduced, distributed, or used without prior written consent.
Upon full payment, customers receive a non-exclusive license to use project deliverables for their intended purpose at the specified location.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these terms shall be brought exclusively in the state or federal courts located in Williamson County, Tennessee, and the parties consent to the jurisdiction of such courts.
10. Dispute Resolution
In the event of a dispute arising from these terms or any service agreement, both parties agree to first attempt resolution through good-faith negotiation.
If negotiation fails to resolve the dispute within thirty (30) days, the parties agree to submit the matter to mediation before a mutually agreed-upon mediator in Williamson County, Tennessee.
If mediation is unsuccessful, either party may pursue binding arbitration or legal action as permitted under Tennessee law. Each party shall bear its own costs and attorney fees unless otherwise ordered.
Indemnification
You agree to indemnify, defend, and hold harmless ICTAlly LLC, its officers, employees, agents, and subcontractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:
- Your use of the ICTAlly website or Client Portal
- Your breach of these Terms of Service
- Your violation of any applicable law or regulation
- Damage to ICTAlly equipment caused by customer negligence or site conditions not disclosed prior to service
This indemnification obligation survives the termination of any service agreement between you and ICTAlly LLC.
Severability & Entire Agreement
Severability: If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Entire Agreement: These Terms of Service, together with our Privacy Policy and any individual service agreement you enter into with ICTAlly LLC, constitute the entire agreement between you and ICTAlly LLC regarding the subject matter herein, and supersede all prior or contemporaneous communications, whether electronic, oral, or written.
Waiver: The failure of ICTAlly LLC to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of ICTAlly LLC.
11. Modifications to Terms
ICTAlly LLC reserves the right to modify, amend, or update these Terms of Service at any time. Changes will be effective immediately upon posting to this page with an updated effective date.
For material changes that significantly affect your rights or obligations, we will make reasonable efforts to provide notice through our website. Your continued use of our website or services after any modifications constitutes acceptance of the updated terms.
